ASSIGNMENT OF REAL ESTATE PURCHASE AND SALE CONTRACT

THIS ASSIGNMENT is made this __ day of____________, 20__ by _________________ (hereinafter "Assignor") to ________________________ (hereinafter "Assignee") by and between Assignor and_________________________ (hereinafter "Seller"), hereby assigns all right, title and interest to Assignee as specifically outlined:
WHEREAS, Assignor has entered into a certain Real Estate Purchase and Sale Contract with__________________ as "Seller" and Assignor as "Buyer" which Contract was executed on this ___ day of _____________, 20__ by said Assignor and on same aforementioned date, by said Seller for the purchase and sale of certain real property being, lying and situated in _______ County, ____State, and more particularly described in said Contract.
WHEREAS, Assignor desires to assign, transfer, sell and convey to Assignee all of Assignor’s right, title and interest in said Real Estate Purchase and Sale Contract.
WHEREAS, Assignee is desirous of receiving all of Assignor’s right, title and interest in said Real Estate Purchase and Sale Contract.
NOW, THEREFORE, for and in consideration of the sum of $_________ DOLLARS as a deposit, and other good and valuable considerations, as outlined in the Addendum To - Assignment Of Contract, and receipt and sufficiency of which are hereby acknowledged and held in escrow, Assignor has assigned, transferred, sold and conveyed and by these presents does hereby assign, transfer, sell and convey unto Assignee all of Assignor’s right, title and interest in said Real Estate Purchase and Sale Contract.
Assignee hereby assumes all of Assignor’s duties and obligations under said Real Estate Purchase and Sale Contract. Further, Assignee agrees to perform all covenants, conditions and obligations required by Assignor under said Contract. Moreover, Assignee further agrees to hold Assignor harmless from any deficiency or defect in the legality or enforceability of the terms of the Real Estate Purchase and Sale Contract. Seller and Assignee agree and understand without reservation that Assignor is not acting as a real estate broker or agent in this transaction, and is not representing either party, but instead, is acting as a principle in selling his/her interest in the Real Estate Purchase and Sale Contract to Assignee.
This Assignment shall be binding upon all parties involved.
